Background

Glen Bowman is a partner in our Montréal office. Glen was admitted to the Quebec Bar in 1992. He graduated from the National Program of McGill University’s law faculty in 1991. He also received a Bachelor of History degree from McGill in 1988. He is fluently bilingual in English and French.

Areas of Practice

  • Glen acts as counsel to lenders, such as banks, insurance companies and other financial institutions, and borrowers in both secured and unsecured loan transactions.
  • He has considerable expertise in syndicated, real estate and asset based lending.
  • Glen also represents creditors and debtors in non-litigious restructuring, insolvency and workout matters.
  • Glen has a CV rating from Martindale-Hubbell signifying good to high legal ability and very high ethical standards as established by confidential opinions from Members of the Bar.

  • Glen’s mandates have included:
  • Syndicated and non-syndicated lending:

    • represented syndicates of lenders led by Bank of Montreal to various public and private companies;
    • represented a syndicate of lenders to Vidéotron Ltée in a secured financing in the amount of $1,587,000,000;
    • represented a syndicate of lenders to Sun Media Corporation in a secured financing in the amount of approximately $400,000,000;
    • represented syndicates of lenders to BCE and its subsidiaries for various amounts;
    • represented The Toronto-Dominion Bank in loans made to a public automotive parts company and its subsidiaries in the amount of approximately $400,000,000;
    • represented The Toronto-Dominion Bank in secured loans made to a consortium of marine response corporations for various amounts;
    • represented a syndicate of lenders to Dollarama
    • represented Royal Bank of Canada in secured loans made to a private operator of old age homes for various amounts;
    • represented a syndicate of US lenders led by Bank of America in relation to the acquisition by Green Mountain Coffee Roasters of Van Houtte.
  • Real estate lending:

    • represented a life insurance company in various loans in the public and private sectors;
    • represented the Cité du commerce électronique in interim and long term secured loan transactions relating to the first and second phase of E-commerce Place in downtown Montréal;
    • represented subsidiaries of a publicly traded transportation income fund in relation to a secured loan transaction relating to several immovable properties;

    • represented Bank of Montréal in relation to the financing of the former Montréal YMCA; and
    • represented several syndicates of lenders to a pulp and paper company with respect to the financing of its mills.
  • Asset based lending:

    • represented a syndicate of lenders led by GE to a privately owned operator of several paper mills;
    • represented an insurance company with respect to a monetization of a sponsorship agreement entered into between the owners of the Bell Center and Bell Canada;
    • represented an automobile manufacturer with respect to the securitization of a portion of its leasing portfolio in Quebec; and
    • represented a fleet leasing company in a financing based on its portfolio of leases and leased vehicles.
  • Transactions on behalf of borrowers:

    • represented a clothing manufacturer in the restructuring of its various credit facilities;
    • represented a private manufacturer of plumbing supplies in the restructuring of its credit facilities;
    • represented a publicly traded transportation income fund in the negotiation of various secured lending transactions; and
    • many lending transactions on behalf of various publicly traded companies and income funds.
