Background
Jennifer Faircloth is a partner in our Calgary office. Jennifer was admitted to the Alberta Bar in 2004 and the Manitoba Bar in 1999. She graduated from the University of Manitoba Law School in 1998, and is fluent in both English and French.
Areas of Practice
- Jennifer began her legal career at a prominent Manitoba firm as a general commercial litigator. Her practice has now developed a strong emphasis on insurance, securities litigation, and oil and gas litigation and commercial litigation.
Professional Experience
- Jennifer has represented domestic, international, and Lloyds Syndicate insurers in a broad range of matters involving coverage, defence and subrogation issues.
- Recent engagements include providing legal opinions and legal advice relating to material non-disclosure, misrepresentation, business interruption loss and extra expense issues, conditions and warranties, faulty materials and design, personal and property losses, and non-traditional coverage claims.
- Jennifer has significant experience related to Energy insurance, particularly property and casualty coverage in the oil sands and traditional oil and gas markets; third party liability, pollution and environmental coverage.
- Jennifer was part of a team of BLG lawyers representing minority shareholders in one of Canada 's largest shareholder actions, involving the fair valuation of shares held by dissenting shareholders in an oil sands company taken private by its majority shareholder pursuant to regulatory provisions.
- Jennifer has successfully acted on behalf of both Plaintiffs and Defendants in a number of separate actions involving investment advisors and brokerage houses for claims of negligence, negligent misrepresentation, breach of fiduciary duty, breach of trust and fraud.
- She has acted on behalf of various corporations involving shareholder disputes, contested corporate reorganizations, Board of Director disputes and disputes pursuant to both the Business Corporations Act and the Companies Act.
- Her practice has a strong emphasis on oil and gas litigation, including claims involving lease disputes, oil and gas royalties, contract/operator disputes, interpretation of CAPL and other contractual agreements, breach of fiduciary duties, excess usage, joint venture disputes, audit disputes and other financially-related claims.
- Jennifer has appeared before both trial and appellate courts, international and commercial arbitral tribunals, and diverse administrative tribunals.
- Jennifer is a sessional instructor for the University of Calgary 's Trial Advocacy Programme, and an instructor for the Legal Education Society of Alberta's Trial Advocacy Programme.
