Background

Patricia Galella is a partner at our Montréal office. Patricia was admitted to the Québec Bar in 1995 and is a graduate of the University of Ottawa Law School, where she obtained degrees in both Civil and Common Law. In 1993, she completed the Canadian Securities Course offered by the Canadian Securities Institute.

Areas of Practice

• Patricia practises in our Corporate Commercial Group and specializes in mergers and acquisitions, as well as commercial agreements.
• She is the Regional Chair of our Privacy and Access to Information Group.
• Patricia is also a member of the BLG Montréal Public-Private Infrastructure (P3) Projects Groups.

Professional Experience

Patricia's areas of expertise include:

• Advising and participating in a broad range of commercial transactions involving the sale or purchase of businesses (including real estate based transactions), corporate reorganizations and joint ventures, as well as the drafting and negotiation of commercial contracts;
• Advising and participating in transactions involving the development, acquisition, financing (including mezzanine financing) and management of multi-residential properties and hotel projects;
• Advising on commercial issues and on the corporate structures used in the implementation of public/private infrastructure projects;
• Advising and participating in corporate finance transactions, such as venture capital, private placements and public financings;
• Advising various clients in rendering their activities, websites and commercial documents in compliance with privacy laws, including, in the context of outsourcing or a transfer of personal information out-of-province/country;

Representative Transactions

• Advised Nokia Siemens Networks Canada Inc. in the negotiation and implementation of a $250 million dollar contract for the design, construction and provision of an advanced wireless network to Videotron Ltée;
• Advised the successful bidding consortium on the legal agreements relating to the constitution, financing and operation of Québec's A25 Highway;
• Advised Chartwell Seniors Housing REIT in connection with the development, acquisition, financing and management of more than 20 seniors housing residences;
• Advised key players in the hospitality management industry in respect of the acquisition, financing and management of hotels;
• Advised the lead underwriter in the $146 million initial public offering of units of Innergex Power Income Fund;
• Advised investors in venture capital transactions, including, Business Development Bank of Canada;
• Acted for clients such as Pratt & Whitney Canada Corp., Toys"R"US (Canada) Ltd., Best Buy Canada Ltd., Hewlett-Packard (Canada) Co. and President's Choice Bank, on a variety of corporate and commercial matters.
