Background
Lindsay is a partner in our Calgary office and is the regional head of the Tax and Wealth Management department in that office. He was admitted to the Alberta Bar in 1980, having obtained his LL.B. from the University of Alberta in 1979 and a B.Comm. from the University of Calgary in 1976. Lindsay completed the Canadian Institute of Chartered Accountants In-Depth Tax Course in 1985.
Areas of Practice
Lindsay’s practice is restricted to providing tax counsel on a broad range of Canadian income tax matters, including advising Canadian and foreign entities on acquisitions and divestures; structuring of joint ventures and partnerships in the energy and real estate sectors; takeovers, reorganizations and plans of arrangement; public securities offerings and financings; as well as the resolution of disputes with federal and provincial tax authorities.

- Structuring of $1.1BB acquisition by a foreign purchaser of interests in Canadian resource properties
- $700MM reorganization and sale of publicly traded mining corporation
- $322MM acquisition of electrical power business
- Sale of $330MM Canadian resource corporation to U.S. acquiror using exchangeable share structure
- Structuring of $440MM of asset and trust/corporate entity acquisitions by a public energy service corporation
- Conversion of various resource trusts, income trusts and partnership structures to corporations
- Reorganization and innovative financial restructurings, including resource corporations and an international resort property business
- Variety of acquisitions, financings, sales and reorganizations of public entities in the resource industry
- Structuring of acquisition by foreign purchaser of a majority interest in Canadian construction partnership
- Public offerings of various debt and equity securities
- Structuring of mutual fund trusts for the acquisition and development of Canadian and foreign real estate
