Background

Nick Pasquino is an associate in our Toronto office and is a member of the Corporate Commercial Group.

He was admitted to the Ontario Bar in 2009 after earning a Bachelor of Laws degree from the University of Western Ontario in 2008 and an Honours Bachelor of Arts degree in international relations and political science from the University of Toronto in 2005.

Nick both summered and articled with BLG, and as a student-at-law Nick was seconded to Scotiabank's General Counsel's Office.

Areas of Practice

Nick has a broad corporate and commercial practice, with an emphasis on mergers & acquisitions, divestitures, reorganizations, joint ventures, and partnerships.

Nick also regularly advises a variety of not-for-profit organizations and charities on corporate and commercial matters.

Professional Experience

  • The structuring and implementation of corporate reorganizations, acquisitions, mergers and divestitures.
  • The negotiation and preparation of share and asset purchase agreements, shareholder agreements, and all types of commercial contracts.
  • The formation, purchase and sale of professional corporations.
  • The formation, maintenance and dissolution of partnerships and limited partnerships.
  • The incorporation of non-share capital corporations and the registration of same as charities with the Canada Revenue Agency.
  • The amalgamation and/or transfer of substantially all of the assets of non-share capital corporations.
  • The continuance of not-for-profits and charities under the Canada Not-for-profit Corporations Act and the Not-for-profit Corporations Act, 2010.

Representative Corporate Transactions

  • Advised Wakefield Canada Inc. in its acquisition of Castrol Canada Inc. from BP Lubricants USA Inc.
  • Advised Evonik Degussa Corporation and Evonik Canada Inc. in connection with the purchase of substantially all of the assets of Kemira Chemicals Canada Inc.
  • Advised the Mississauga Oakville Veterinary Emergency Hospital in connection with its reorganization as a limited partnership and related matters.
  • Advised Dr. John Sowerby, DVM in connection with the sale of all of the issued and outstanding shares in the capital of King City Veterinary Professional Corporation to Dr. Ashley Boultbee, DVM.
  • Advised a United States investment fund in its acquisition of a steel mill in Welland, Ontario.
  • Advised the controlling shareholders on the sale of all the shares of a major Canadian beverage manufacturing company.
  • Advised the controlling shareholders on the sale of all the shares of a Toronto area Volvo and Jaguar car dealership.
  • Representative Not-for-Profit Transactions

  • Advised an Ontario university foundation in connection with the transfer of substantially all of its assets (including a multi-million dollar endowment) to the university and integration of the operations of the foundation into the university’s division of advancement.
  • Advised an Ontario public hospital in connection with the negotiation of multiple complex service agreements with the Ontario Workplace Safety Insurance Board.
  • Advised an Ontario public hospital in connection with a reorganization of certain subsidiaries, involving the transfer of intellectual property and other assets and the wind-up and dissolution of a limited partnership.
  • Advised an Ontario public hospital in connection with a joint venture with a private sector service provider to provide in-home respiratory services in the local community.
  • Advised an Ontario municipality in connection with governance matters related to the establishment and operation of a hospital and hospital related entities in the municipality.
  • Advised Summerhill Impact in connection with its management of the Retire Your Ride national vehicle recycling program funded by the Government of Canada.
  • Advised a multitude of non-share capital corporations in connection with complete governance reviews including by-law amendments and the filing of supplementary letters patent.

Speaking Engagements

  • Nick is a regular speaker at various Ontario Hospital Association Conferences.
  • Nick has spoken about non-share capital corporations at lawyer continuing professional development programs, including most recently at the Sudbury District Law Association’s annual CPD conference.
  • Nick has been a regular speaker on corporate reorganizations at the Canadian Institute’s legal conferences.
  • Nick regularly conducts director orientation and training sessions for not-for-profit and charity clients.
