Background

Dyana is a partner at our Toronto office. Dyana received a Bachelor of Arts degree in Psychology with a minor in Criminal Justice from the University of New Brunswick (Saint John) in 1997 and a Bachelor of Laws degree from the University of New Brunswick (Fredericton) in 2000. Dyana articled with the Calgary office of Borden Ladner Gervais LLP and was called to the Alberta Bar in August 2001. She joined the Toronto office in September 2001 and was called to the Ontario Bar in April 2002.

Areas of Practice

• Dyana is a corporate lawyer in the Securities and Capital Markets Practice Area, with an emphasis on transactions and mergers and acquisitions.
• Dyana is also a member of the Corporate Finance, Corporate Governance, and Mergers and Acquisitions Practice Groups.

Professional Experience

• Acting for issuers in securities offerings such as initial public offerings and securities filings.
• Advising clients on compliance with provincial and federal securities legislation, as well as the rules of the TSX and TSX Venture Exchange securities laws compliance
• Conducting due diligence reviews in a variety of commercial contexts.
• Experience in general corporate matters such as incorporations, amalgamations and share purchase transactions.
• Drafting and reviewing commercial agreements and advising regarding ongoing corporate law matters.
