Executive Summary

Derrick Armstrong is Regional Leader of our Securities and Capital Markets Group in Calgary, as well as Senior Counsel. Derrick has practised securities and corporate law in Calgary continuously since 1980.  He has extensive experience in acting for Canadian oil & gas companies operating internationally, particularly in Africa.  He also assists corporate clients on corporate governance matters, provides independent counsel to special committees, and has prepared reports as an expert witness on securities-related matters.  Previously, he served on the advisory committee to the Alberta Securities Commission, and was a member of the National Advisory Committee and chair of the Local Advisory Committee of the TSX-Venture Exchange for 10 years.

Derrick has been with the Firm since July 2002, when the firm he founded and managed, Armstrong Perkins Hudson LLP, merged with Borden Ladner Gervais LLP.

Has spoken at public forums to various groups, including lawyers, accountants, regulators and businessmen on several securities and corporate finance topics, including:

    • policies related to capital pool corporations in Vancouver, Calgary and Toronto on several occasions in conjunction with TSX Venture Exchange and its predecessors, CDNX Exchange and the Alberta Stock Exchange;
    • early stage financings;
    • disclosure issues in take-over bids; and
    • financing of technology companies.
