Background
Linda is a senior partner in our Toronto office and is Chair of Borden Ladner Gervais LLP's National Electricity Markets Group and Co-chair of the Energy Markets Group in Toronto. Linda was called to the Ontario Bar in 1976 and has a BA and LLB from the University of Toronto.

- Linda has been a corporate lawyer throughout her career and has been involved in major corporate and securities transactions, financings and mergers and acquisitions. Linda has represented clients in all aspects of the Canadian electricity sector since 1987.

Professional Experience
- Advised clients since 1987 concerning all aspects of power project development with technologies including natural gas, wind, solar, hydro-electric, biomass, cogeneration, combined heat and power and district energy, structuring transactions, contract design, risk assessment, project finance, regulatory issues, power purchase and energy sales agreements, tolling agreements, non-utility generation contracts, construction contracts, operations and maintenance agreements;
- Advises major electricity consumers in Ontario on their energy needs including regulatory requirements, requirements under the Market Rules relating to market participation and energy procurement strategies and contract arrangements;
- Advises numerous Ontario municipalities and municipal electric utilities on issues relating to electricity sector restructuring including mergers, divestitures, financing, governance, shareholder agreements and regulatory issues and infrastructure, water and wastewater issues;
- Provides ongoing advice during the operations phase of electricity projects on areas such as procurement, operations, maintenance and finance;
- Advises on district energy projects including transaction structure, financing and energy services agreements;
- Advises on landfill gas projects including transaction structure, key contracts and financing arrangements;
- Advises equity investors, lenders, engineers and general contractors concerning project issues and public-private partnerships;
- Involved in mergers and acquisitions, joint ventures, limited partnerships in non-energy related transactions including advice to major pension funds on private equity investments;
- Involved in debt financings, syndications, securitizations and secured transactions;
- Negotiates and drafts shareholder, partnership and joint venture agreements and agreements related to closely-held companies;
- Provides day-to-day advice to clients on corporate commercial law issues including contracts, banking, financing, re-organizations, joint ventures, confidentiality agreements and trade practices.

- Speaker at numerous conferences and client presentations on municipal, corporate and energy-related topics including energy contracts, power project development and financing; advising private corporations on mergers and acquisitions;
- Member of the Board of Directors of the Association of Power Producers of Ontario;
