Background
Mark Chartrand is a tax partner in our Vancouver office. He was admitted to the Bar of British Columbia in 1987. He graduated from McGill University Law School in 1984 with a Bachelor of Laws (LL. B.) and a Bachelor of Civil Law (B.C.L.).
Areas of Practice
- Mark practises primarily as a tax- and estate-planning advisor to owners of private companies and their shareholders and directors, and to professionals. He brings over 23 years' experience in advising on tax-driven corporate reorganizations, 'family' and other trusts, shareholders' agreements and partnerships. He also has considerable experience in advising individuals and corporations in the United States on Canadian tax considerations of becoming resident or carrying on business in Canada.
- Mark also has developed expertise throughout his career in income-tax features of securities offerings. He provides tax opinions and advice on flow-through share financings by mining, oil and gas and 'green' energy companies, flow-through limited partnerships, plans of arrangement, mutual funds and myriad other private placements and public offerings.

- assisted a $300 million private company with a tax-efficient, complex capital-reduction strategy and related implementation
- negotiated and drafted a shareholders' agreement for a private-company investment counsel firm, designed to manage intergenerational-ownership transition among 26 shareholders
- advised the president and CEO personally of a $1 billion private company on tax- and estate-planning features of a shareholders agreement and related insurance “grandfathering” and tax-effective monetization issues
- advised partners in Vancouver 's then-largest independent firm of chartered accountants on structuring their merger with one of the big-four accounting firms
- advised numerous executives of a large independent brokerage firm on multi-tiered shareholders' agreements
