Background
Noella Milne is a partner practising in our Toronto office. Noella was admitted to the Ontario Bar in 1988. She received her BA with a major in Law at Carleton University and received her law degree from the University of Toronto Law School in 1986.
Areas of Practice
- Noella practises in the Commercial Real Estate area with an emphasis on asset and share acquisitions and dispositions, mixed-use developments, joint ventures, condominium development, partnerships and other business activities, 'public-private' transactions, financings, ground leasing, land development and other commercial real estate matters.
- Other areas of specialization include all aspects of hotel-related transactions, including, acquisitions, dispositions, management agreements, franchise agreements, co-ownership arrangements and financings.
Professional Experience
- Acts for clients in connection with acquisitions, dispositions, joint ventures, mixed used developments, condominium development financings, leases and other commercial real estate matters. In this regard, advises clients with respect to structuring of the transaction and various other issues including financing, leasing, employment issues, environmental issues, and title issues.
- Acted for various clients on the acquisition and disposition of various major hotels, which have included the SkyDome Hotel in Toronto and several other major hotels in Toronto, Ottawa and London. This involved advising the clients with respect to all related issues including environmental, employment, hotel management, hotel licensing and financing issues, and the negotiating of co-owner arrangements, shareholders agreements, hotel management agreements, hotel licensing and franchise agreements, liquor licensing agreements, and various arrangements with third party restaurant operators.
- Acquisitions of numerous shopping centres and office buildings. In each instance, scope of duties included consideration of structure of transaction, negotiating and drafting agreement of purchase and sale, negotiating and acting on financings for acquisitions. In addition, in many instances, duties have also involved acting on portfolio acquisitions of groups of properties and negotiating co-ownership, joint venture and partnership agreements.
- Acts for various banks and trust companies as well as for borrowers in connection with the financing of real property, including financing of major hotels, shopping centres, office towers and development projects.
- Heading up the legal team acting for George Brown College in connection with its $200 million Waterfront Campus Development Project, which Project involves the creation of an integrated facility including academic buildings, student residence and a recreation centre.
- Part of the team acting for the City of Ottawa in connection with the proposed establishment of a light rail transit system for the City of Ottawa through a public-private partnership.
- Acting for George Brown College in connection with its acquisition of a Student Residence on the Pan/Parapan Am Games Athlete’s Village Site.
- Acted for pension fund and large private corporation in the acquisition of a $1 Billion portfolio of shopping centres in Ontario.
- Acted for consortium including pension fund, financial institution and large private corporation in acquisition of a portfolio of office buildings across Canada. ($900 million).
- Part of the team acting for Ontario Teachers' Pension Plan Board in its acquisition of Cadillac Fairview Corporation ('CFC'). This was a major and complex transaction involving several billion dollars as CFC was one of the largest owners, managers and developers of commercial real estate in North America.
- Acted for a developer in the creation of a large retail condominium project including creating all of the condominium documentation for the project, disposing of units, leasing of units for large retail stores and a bank. This was one of the first large retail condominium developments under the new condominium legislation.
- Acted for Context Development Ltd. in the negotiation of the acquisition and development of its condominium projects, including: The Spire, Tip Top Lofts, Kensington Place, Radio City Lofts, Mozo and District Lofts.
- Part of the real estate team acting for Canadian Broadcast Corporation in connection with the development of the Broadcast Centre in Downtown Toronto. This project involved structuring arrangements for long term leases of two future office towers, agreements regarding a proposed condominium project and agreements involving the construction and financing of the CBC Broadcast Centre.
- Acted for Teledyne Inc. in the disposition of various sites across Ontario. This involved dealing with complex environmental liability and indemnity issues.
- Acted for Ontario Residential Development Corporation on the structuring and negotiating of complex loan arrangements with developers and co-lenders.
- Acted on a number of joint ventures, partnerships, limited partnerships and co-owners arrangements regarding various real estate acquisitions and investments.
