Background

Sean Muggah is a partner in our Vancouver office, and is the Regional Leader of the firm's Electricity Markets Group. He received his B.A. from Trinity College, University of Toronto in 1992, and his LLB and BCL from McGill University in 1997. Sean articled with Ladner Downs (now Borden Ladner Gervais) and was admitted to the British Columbia bar in 1998.

From 2000 to 2003, Mr. Muggah was foreign counsel with the law firm of Nishimura & Partners (now Nishimura & Asahi) in Tokyo, Japan.

Areas Of Practice

Sean represents and advises clients on a wide range of corporate and commercial matters, with a particular focus in the areas of energy transactions, acquisitions, mergers and divestitures, and infrastructure projects.

Professional Experience

Energy

Sean is the Regional Leader of the firm's Electricity Markets Group, and acts as counsel on a variety of electricity and energy related transactions. Recent and ongoing retainers include:

  • Representing BC Hydro in the development and implementation of renewable energy calls for power in British Columbia, including the 2008 Bioenergy Phase I Call for Power, the 2008 Clean Energy Call for Power, and the 2010 Bioenergy Phase II Call for Power, with experience negotiating and managing power purchase agreements for wind, biomass, waste heat, run-of-river, reservoir and natural gas projects
  • Representing a developer in respect of a significant dam project

Acquisitions, Mergers and Acquisitions

Sean has extensive experience with mergers and acquisitions, corporate reorganizations and joint ventures in a wide variety of industries. Illustrative examples of experience include:

  • Representing major Korean companies in respect of mining ventures in Canada, the United States and Africa
  • Represented Weyerhaeuser Company Limited in its disposition of its coastal B.C. division to Brascan Corporation for $1.2 Billion
  • Represented Weyerhaeuser Company Limited in the disposition of its Canadian building materials distribution business to a U.S. private equity firm
  • Representing BC Hydro in respect its $1.5 Billion outsourcing and partnership transaction with Accenture and related ongoing matters
  • Represented UMA Engineering in respect of its merger and court approved cross border acquisition transaction and corporate arrangement with AECOM
  • Represented Roche in its $1.4 Billion acquisition of a controlling interest in a Japanese pharmaceutical company
  • Representing the vendors of a foundry business in Western Canada
  • Represented several investor dealers in the acquisition of brokerage businesses in British Columbia and Ontario
  • Advising on partnership and joint venture arrangements involving professional organizations in various sectors, including the engineering, architecture and computer service industries

Infrastructure

Sean advises on infrastructure projects and transportation industry transactions across Canada. Recent retainers include:

  • Representing design builders in respect of various public private partnership projects in British Columbia, including the Surrey Outpatient Clinic, Royal Jubilee Hospital and Fort St. John Hospital
  • Representing the design builder in respect of the Alberta Schools Alternative Procurement Project
  • Representing the design builder in respect of the New Brunswick Schools Project
  • Represented design-builders and developers in respect of bids for infrastructure projects in the transportation, health care and education sectors in British Columbia, Ontario and New Brunswick
  • Advising owners in the energy, infrastructure and mining sectors on the legal aspects of design and construction, including tendering and bidding documentation, engineer, procure and construction management (EPCM) agreements and engineer, procure and construct (EPC) agreements

  • Former adjunct professor at University of British Columbia Faculty of Law (2007 – 2010)
  • Speaker and presenter at various seminars and conferences for the Continuing Legal Education Society of British Columbia, the Canadian Society of Association Executives, the Certified General Accountants Association of British Columbia, the Canadian Institute and Pro Bono Law of B.C.
