Background
Christopher Toal is a senior associate in our Waterloo Region office. Chris was admitted to the Ontario Bar in 1999. He graduated from the University of Toronto Faculty of Law.
Prior to obtaining his law degree, Chris received his Bachelor’s degree in Geological Engineering and his Master’s degree in Engineering Physics from Queen’s University in 1986 and 1989, respectively, and worked as an environmental consultant managing environmental assessments, site investigations and remediation projects in the United States and Canada. Chris speaks some French and Spanish.
Areas of Practice
- Chris practices corporate and commercial law, providing a full range of business law services for small and large clients.
- Chris has worked on a variety of mergers and acquisitions of both public and private companies, with particular experience in the technology and natural resource industries.
Professional Experience
- Chris is the Toronto Regional Contact of the Franchise and Distribution Group.
- Advises both public and private companies in relation to mergers and acquisitions; representative transactions include:
- $3 billion acquisition of Cadillac Fairview Corporation by the Ontario Teachers Pension Plan
- Sale of Spar Aerospace Limited’s Satellite and Space Systems division and Robotics division
- leveraged buy-out of a group of food distribution companies
- $230 million public takeover of Spar Aerospace Limited by L-3 Communications
- $108 million purchase of Bombardier's Military Aviation Services division by L-3 Communications
- $400 million acquisition of North American Construction Group
- provides legal advice and support to publicly traded companies, including: the preparation and filing of annual and special meeting materials, insider trading and material change reports; the development of corporate governance guidelines (duties of directors, terms of reference for Boards and their committees, share trading, continuous disclosure, confidentiality and business ethics policies); and the drafting and implementation of shareholders’ rights plans, executive stock option plans and employee share purchase plans.
- seconded for some period of time to a leading company in the retail and wholesale food distribution industry in Canada, to provide day to day legal advice on franchise related matters, to assist in the acquisition of natural resource based target companies and to support emerging e-business opportunities.

- Member of the Canadian Bar Association, Ontario Bar Association and Waterloo Law Association.
- Involved in the 'BLG Reads to Kids' program, reading to children at a Kitchener elementary school.

- Involved in judging of student exhibits at the Waterloo-Wellington Science & Engineering Fair.
- Involved in judging of student team business plans as part of the LaunchPad$50K Venture Creation Competition.
