Joseph represents public issuers and underwriters in public and private debt and equity financings and initial public offerings, and also has experience with public and private M&A transactions, acting for both acquiring companies and target companies.

Experience

  • Counsel to Northland Power Inc. in connection with a public secondary equity offering led by CIBC World Markets Inc. on behalf of syndicate of underwriters for gross proceeds of $862.5 million.
  • Counsel to Northland Power Inc. in connection with a public offering of subscription receipts led by CIBC World Markets Inc. on behalf of syndicate of underwriters for gross proceeds of $346.5 million.
  • Counsel to CanniMed Therapeutics Inc. in connection with its initial public offering, representing the second medical cannabis company to list on the TSX and only one of three IPOs on the TSX in 2016.
  • Counsel to CanniMed Therapeutics Inc. in its defense of a hostile takeover by Aurora Cannabis Inc., which led to a friendly $1.3 billion takeover.
  • Counsel to North American Construction Group Ltd. in connection with its acquisition of a 49% ownership interest in Nuna Logistics Ltd.
  • Counsel to a syndicate of underwriters led by TD Securities Inc. in connection with a public equity offering of Cobalt 27 Capital Corp. for gross proceeds of $300 million.
  • Counsel to The Supreme Cannabis Company, Inc. in connection with its acquisition of Truverra Inc.
  • Counsel to Wildflower Brands Inc. in connection with its acquisition of City Cannabis Corp.
  • Counsel to a syndicate of agents led by Scotia Capital Inc. in connection with a private placement of $250 million aggregate principal amount senior secured notes of Recipe Unlimited Corporation.
  • Counsel to Bophelo Bioscience & Wellness (Pty) Ltd. in connection with the sale of its business to Halo Labs Inc.
  • Counsel to a syndicate of underwriters led by RBC Dominion Securities Inc. in connection with a public equity offering of Chartwell Retirement Residences for gross proceeds of $269.5 million.
  • Counsel to a syndicate of agents led by CIBC World Markets Inc. in connection with a private placement of $150 million aggregate principal amount senior secured debentures of Chartwell Retirement Residences.
  • Counsel to Concours Mold Inc. in connection with the sale of its business to Crestview Partners.
  • Counsel to syndicates of underwriters led by Clarus Securities Inc. in connection with multiple public equity offerings of Aphria Inc. for aggregate gross proceeds of $670 million.
