Doug advises clients in a wide range of corporate commercial law matters, focusing on finding effective and practical solutions to their business matters.
Within his practice, Doug specializes in four main areas:
corporate and commercial matters, broadly advising privately held businesses
corporate governance, with a focus on co-operative associations and similarly constituted entities
information technology, including the acquisition of computer systems and software and related services
intellectual property, covering all areas of the creation, protection, exploitation (including licensing and franchising) and enforcement of trademarks, copyrights, patents, trade secrets and other intellectual property rights (excluding the preparation and prosecution of patent applications).
Represented Agrifoods International Cooperative Ltd. and its affiliate Earth’s Own Food Company Inc. in numerous transactions, including the disposition of Agrifoods’ interest in Ultima Foods Inc. and the acquisition of the Organic Meadow and Rolling Meadow businesses.
Represented Carmanah Technologies Corporation in its disposition of its Solar EPC business.
Represented The Infinity Sports Group Ltd. in the sale of its business to Canadian Tire Corporation.
Counsel to the Boards of Directors of Agrifoods International Cooperative Ltd. and Mountain Equipment Co-operative with respect to cooperative governance and rules.
Counsel to numerous privately held businesses, ranging from small to large, with respect to corporate organization and reorganization, acquisitions and divestitures, supply contracts, distribution and dealer contracts, customer contracts, and regulatory matters.
Advising on the intellectual property elements of broader transactions, including mergers and acquisitions, debt and equity financings, licensing, services, and other transactions.
Advising various clients with respect to strategies for protecting, exploiting and enforcing intellectual property rights.
