On May 1, 2020, Berkshire Hathaway Energy Company (BHE), indirectly through certain subsidiary entities, completed the acquisition of the Montana Alberta Tie-Line, a 215 mile, 230-kV merchant transmission line running from Great Falls, Montana to Lethbridge, Alberta, from Enbridge Inc. (the Transaction). The Transaction was completed by way of certain share purchase agreements, for an approximate purchase price of C$200,000,000.
BLG acted for BHE in connection with the Transaction and acted in all Canadian matters related thereto. The BLG transaction team was led by Ravi Latour, with a team that included Alan Ross, Joel Jones, Karleigh Maag and Jasmine Lothian (Corporate Commercial/Securities), Jordan Hulecki and Bradon Willms (Regulatory), Steve Suarez and Siwei Chen (Tax), Paul Taylor and Robin Jawanda (Commercial Real Estate), Sameena Sarangi (Financial Services) and Denes Rotschild (Competition). The complex cross-border elements and nature of the Transaction involved a significant amount of teamwork and dedication over the past 6 months from BLG, and resulted in an extremely positive result for our client.
