Bill focuses his practice on securities and corporate finance, mergers and acquisitions, corporate governance, continuous disclosure matters and stock exchange requirements. 

Bill represents public oil and gas issuers, and other industrial issuers, listed on the Toronto Stock Exchange and the TSX Venture Exchange, as well as private equity issuers in:

  • debt and equity financing transactions
  • mergers and acquisitions
  • corporate governance matters
  • other facets of oil and gas and corporate and commercial law

Bill also works with Canadian chartered banks in both single-lender and syndicated debt-financing transactions.

Experience

  • Advised Kelt Exploration Ltd. in its $510 million disposition of oil and gas assets in its Inga/Fireweed/Stoddart Division (the “Inga Assets"), located in British Columbia, to ConocoPhillips and assumption by the Purchaser of certain specific financial obligations related to the Inga Assets in the amount of approximately $41.0 million.  
  • Lead counsel in the transformational acquisition of natural gas assets located in the Foothills area of Alberta and the Deep Basin area of BC and related infrastructure divestitures by Ikkuma Resources Corp.
  • Lead counsel for Carrick Petroleum Inc. in respect of an insiders bid.
  • Lead counsel in the sale by Zedcor Energy Inc. of all of the assets and business of its construction equipment rental subsidiary 4-Way Equipment Rentals Corp. to Cooper Rentals Canada Inc.
  • Lead counsel for Zedcor Energy Inc. regarding its re-financing by Maynbridge Capital Inc. and various related debt and equity financing transactions.
  • Lead counsel in Ikkuma Resource Corp.'s $45 million term loan from Alberta Investment Management Corporation.
  • Lead counsel in the $90 million convertible debenture financing by Kelt Exploration Ltd. by way of short‑form prospectus and concurrent private placement.
  • Lead counsel in Kelt Exploration Ltd.'s $100 million disposition of Karr area, Alberta assets.
  • Lead counsel in Canadian Equipment Rental Corp.'s sale of shares of its subsidiary MCL Waste Systems & Environmental Inc. and sale of its Waste Management Division to GFL Environmental Inc.
  • Lead counsel in the start-up financing and initial acquisition of Central Alberta oil and natural gas assets by Little Rock Resources Ltd.
