Experience

  • Acting for the project sponsor on a number of large public infrastructure projects.
  • Drafting, negotiating and completing funding agreements with senior levels of government in large public infrastructure projects.
  • Drafting the request for qualifications, request for proposals and the resulting services agreements for sponsor-side service providers, such as architects and engineers, in large public infrastructure projects.
  • Drafting the request for qualifications, request for proposals, constructions contracts (including use of CCDC forms and preparing supplementary conditions) and the project agreement for large public infrastructure projects.
  • Negotiating and closing the project agreement and numerous related closing agreements and instruments in large public infrastructure projects.
  • Preparing and providing briefings to key decision-makers of project sponsors throughout the phases of projects, including in support of internal governance approvals, in large public infrastructure projects.
  • Providing on-going advice on project procurement and implementation matters and governance models, in large public infrastructure projects.
  • Providing advice on regulatory and third party policies and approvals, in large public infrastructure projects.
  • Supporting post-closing matters, including advising on rights, remedies and claims, in large public infrastructure projects.
  • Drafting, reviewing and negotiating loan, contribution, guarantee and grant agreements in respect of government procurement and funding programs.
  • Drafting the full suite of template project agreement and related agreements used by a Federal Crown Corporation for infrastructure projects.
  • Drafting the template funding agreement used by a Federal Crown Corporation for infrastructure projects.
  • Drafting the template loan, grant and related agreements used in respect of an environmental fund endowed by the Federal Government.
  • Acting for municipalities in Ontario, and elsewhere in Canada.
  • Drafting, reviewing and negotiating a wide variety of corporate-commercial and business transaction agreements, such as business formation, partnership, joint venture and other business agreements and arrangements; and service and outsourcing contracts and arrangements.
  • Acting on behalf of both vendors and purchasers in numerous merger and acquisition transactions in different industries
  • Acting on behalf of both investors and investee-companies in corporate finance matters
