Lloyd practices in the areas of corporate and securities law. He primarily acts for public companies listed on the Toronto Stock Exchange or TSX Venture Exchange regarding corporate finance, mergers and acquisitions, governance and disclosure matters. In addition, he regularly advises international companies and investors with respect to cross-border financings and other transactions involving Canadian public companies.

He has experience working with clients operating in a broad range of industries including oil and gas, mining and life sciences.

  • Advised a TSXV listed mining issuer on a business combination, reverse takeover and $12 million subscription receipt financing.
  • Represented a private oil and gas issuer on its reverse takeover of a capital pool company, subscription receipt financing and listing on TSX Venture Exchange.
  • Advised a TSXV and AIM listed oil and gas issuer on a US$10 million private placement of common shares and the concurrent sale of an overriding royalty interest.
  • Advised a public oil and gas issuer on a $59 million private placement of debentures and warrants as part of a debt restructuring.
  • Counsel to a biotechnology issuer on a US$11 million equity financing and concurrent regional licensing arrangement.
  • Advised an oil and gas issuer on the successful defense of a hostile take-over bid.
  • Counsel to a TSX listed biotechnology issuer on public offerings of common shares and warrants pursuant to a short form prospectus.
  • Advised a biotechnology issuer on secured convertible debenture financings and secured lending arrangements.
  • Advised an oil and gas issuer on its business combination with a TSXV listed issuer and concurrent US$37 million asset purchase.
  • Counsel to an energy and construction services issuer on the $20 million sale of assets relating to its trenchless solutions division and the $20 million sale of assets relating to its utility construction division.
  • Advised a private SaaS company on its asset sale to a U.S. based strategic purchaser.
  • Counsel to a biotechnology issuer on an $87 million private placement of common shares and warrants to a strategic investor.
  • Counsel to an energy technology company on a $13 million rights offering pursuant to a rights offering circular.
  • Counsel to a biotechnology issuer on a $50 million equity private placement and concurrent regional licensing arrangement.
  • Counsel to a biotechnology issuer on the spin out of assets relating to its platform technology pursuant to a plan of arrangement.
  • Counsel to an energy services issuer on a $15 million public offering of subscription receipts in connection with the purchase of an oilfield equipment rental company.
  • Counsel to an energy technology issuer on an $80 million private placement of common shares to strategic investors.
  • Counsel to an energy technology issuer on its reverse takeover (RTO) of a TSXV listed issuer, subscription receipt financing and listing on TSX Venture Exchange.
  • Advised a biotechnology issuer on equity line of credit and at-the-market (ATM) offerings of common shares on TSX.
  • Advised a power generation issuer on a green bond and hybrid debt financing.
  • Advised a retail automotive issuer on high yield note offerings pursuant to an offering memorandum.
  • Advised an oil and gas issuer on US debt offerings pursuant to MJDS prospectus and prospectus offerings of medium term notes (MTN) and rate reset preferred shares.
