Executive Summary

William (Bill) Guinan is a partner in our Securities and Capital Markets Group in our Calgary office. Bill focuses his practice on securities and corporate finance, mergers & acquisitions, corporate governance, continuous disclosure matters and stock exchange requirements, as well as on oil & gas and banking matters. He represents public oil & gas issuers, and other industrial issuers, listed on both the Toronto Stock Exchange and on the TSX Venture Exchange, as well as private equity issuers, in equity and debt financing transactions, mergers & acquisitions, corporate governance matters and in various facets of oil & gas and corporate and commercial law. Bill also represents Canadian chartered banks in both single-lender and syndicated debt-financing transactions.

Representative Work

  • Lead counsel for Celtic Exploration Ltd. with respect to its acquisition by ExxonMobil with a transaction value of approximately $3.1 billion, 2012 and 2013.
  • Lead counsel for Cutpick Energy Inc. with respect to its acquisition by Crescent Point Energy Corp. with a transaction value of approximately $425 million, 2012.
  • Lead counsel for Emerge Oil & Gas Inc. with respect to its acquisition by Twin Butte Energy Ltd. with a transaction value of approximately $170 million, 2011 and 2012.
  • Lead counsel for Celtic Exploration Ltd. with respect to numerous public offerings, including a public offering of $172.5 million convertible unsecured subordinated debentures, 2012, and a $125-million public offering of common shares, 2011.
  • Lead counsel for a start-up private oil & gas issuer in connection with a $130-million private equity financing and related acquisition of producing oil & gas assets located in southeast Saskatchewan and southwest Manitoba, 2012.
  • Lead counsel for a start-up private oil & gas issuer in connection with a $140-million private equity financing and related acquisition of producing oil & gas assets located in southwest Saskatchewan, 2012.
