Elly is a partner in the Financial Services Group. Her practice focuses on corporate finance and commercial lending. Her expertise includes innovation and technology finance, acquisition finance, asset-based lending, environmentally linked sustainability lending, commercial real estate finance, commercial mortgage-backed securities lending, insurance finance, capital call facilities and mezzanine lending. She advises financial institutions, private lenders, corporate borrowers and private funds on domestic or cross-border bilateral and syndicated loan transactions, as well as complex intercreditor arrangements.

Elly’s expertise extends to include corporate restructurings, DIP financings, bankruptcies and receiverships under the Companies’ Creditors Arrangement Act and the Bankruptcy and Insolvency Act.

Elly is fluent in both French and Farsi.

Recognized as a prominent strategic legal advisor, Elly has been:

  • Lead counsel to Finning International Inc. in their C$1.3 billion global credit facility with a syndicate of international banks.
  • British Columbia counsel to Export Development Bank of Canada in connection with the Canadian Emergency Business Program (CEBA) in $55 billion program to small and medium sized businesses affected by COVID-19.
  • Lead counsel to a syndicate of lenders in C$603 million cross-border financing of port terminal facility.
  • Lead counsel to a syndicate of lenders in US$300-million and C$55-million cross-border financing of agricultural produce grower and supplier.
  • Lead counsel to multiple lenders in C$200-million financing of oil exploration and production company.
  • Lead counsel to senior lender in C$60-million financing of software company.
  • Lead counsel to senior lender in C$40-million financing of natural wellness products company.
  • Lead counsel to senior lender in connection with the financing of a ski resort.
  • Lead counsel to a group of debtors in C$33-million financing of retail chain of restaurants.
  • Lead counsel to Royal Bank of Canada in financing of commercial income producing properties secured by mortgage-backed securities in Western Canada.
  • Counsel to numerous restructuring, receivership and bankruptcy proceedings, including Shoes.com, Technologies Inc., Hanjin Shipping Co., Ltd. and Flying Cameras Inc.
