Jevaughn’s practice focuses on securities and corporate law, with an emphasis on corporate finance, capital markets, and mergers & acquisitions.

Jevaughn assists clients across a range of industries and on a variety of transactions, including public and private securities offerings, going-public transactions, and continuous disclosure obligations.

Prior to joining BLG, Jevaughn worked at an international law firm as well as at a private equity firm in Toronto. At the former, he gained valuable experience in capital markets and general corporate law through advising clients on a variety of transactions and corporate related matters.

Experience

  • Represented an international cannabis manufacturing and distribution company in completing a business combination with a Capital Pool Company (CPC) resulting in a reverse-takeover of the company, constituting a qualifying transaction in accordance with TSXV Policy 2.4.
  • Represented a NASDAQ and TSXV listed international, technology-powered real estate company in acquiring 100% of the issued and outstanding equity interests of a multi-state title company, operating in the USA, that delivers fully digital and hybrid closings.
  • Represented a TSXV listed international cannabis manufacturing and distribution company in completing its plan of arrangement with a NASDAQ listed leading all-outdoor cultivator, manufacturer and distributor of global cannabis products and brands.
  • Represented a wholly-owned subsidiary of a Swiss investment company focused on renewable energies and clean technologies in an attempted all cash take overbid of an American based and OTC listed oil and gas and clean technology company.
  • Represented a TSXV listed global medical cannabis company in completing the sale of its European subsidiaries.
  • Represented a CSE listed artificial intelligence company focused on developing transformative AI-powered tools for businesses and consumers complete a business combination with another artificial intelligence development technology company, in which it acquired all of the issued and outstanding securities of that AI development company in exchange for a certain number of shares in the CSE listed company that resulted in a reverse takeover of the CSE listed company.
  • Represented a TSXV listed integrated ESG technology platform company in completing its private placement offering of secured convertible debentures with various corporate investors.
  • Represented a TSX listed gold and precious metals mining company in the sale of all the issued and outstanding shares in its wholly-owned multi-national subsidiary and related properties.
  • Represented an Automotive Group in acquiring 100% of the share capital of the operating company, and the real estate holding company, of another privately held Automotive Group.
  • Represented a Canadian specialty distributor of medical and surgical products (a portfolio company of a private equity firm) in acquiring a medical and surgical supply and distribution company operating in USA and Canada. Private Equity and Venture Capital.
  • Represented a company that operates an artificial intelligence based fully automated building design platform in completing a reorganization and spin-off transaction with a concurrent financing by several private equity funds.
  • Represented the Canadian subsidiary of an investment firm participate in a round of Series A financing in its investment in a mobile marketplace company that provides access to discounted food and other services.
  • Represented a financial technology company in completing a round of financing from Venture Capital interests.
  • Represented a real estate investment group in completing a series of private placements to finance several commercial real estate projects in the USA and Canada.
