Louise advises clients on private and public financings, including venture capital and private equity and mergers, acquisitions and other business combinations of public and private issuers, including:

  • take-over bids
  • amalgamations and plans of arrangements
  • other corporate reorganizations

She also assists clients to ensure compliance with corporate and securities regulatory requirements.

She is a co-leader of BLG's Driven by Women Initiative in Calgary and is also a member of BLG’s Private Equity Steering Committee.

Louise provides legal services through a Law Corporation.

Experience

  • Green Energy Services Inc. in its acquisition of the assets and business of Fraction Energy Services Ltd., a wholly owned subsidiary of Trican Well Service Ltd. for the total consideration of C$17.6 million.
  • Lexaria Biosciences Corp., in the sale of the primary assets of its cannabis related division Lexaria Canpharm ULC to Hill Street Beverage Company Inc. (TSXV: BEER).
  • Stone Canyon Industries Holdings LLC in connection with the Canadian portion of its USD $1.8 billion equity offering of Series A Preferred Units.
  • Birchcliff Energy Ltd. with respect to its prospectus offering and concurrent private placement of C$690.8 million of subscription receipts.
  • Westleaf Inc. in connection with:
    • its business combination with We Grow B.C Ltd
    • its reverse take-over of IGC Resources Inc. and its concurrent C$20 million subscription receipt financing.
  • MJ Mining Inc. in connection with its reverse take-over of Bond Resources Inc.
  • META Growth Corp. (formerly National Access Cannabis Corp.) with respect to its C$21.15 million short form offering of convertible debentures and its acquisition by High Tide Inc.
  • Ikkuma Resources Corp. with respect to its acquisition by Pieridae Energy Limited by way of a plan of arrangement.
  • Kelt Exploration Ltd. with respect to its acquisition of Artek Exploration Ltd. with a transaction value of approximately C$307 million and its acquisition of Capio Exploration Ltd. with a transaction value of approximately C$165 million.
  • Celtic Exploration Ltd. with respect to its acquisition by ExxonMobil with a transaction value of approximately C$3.1 billion.
  • Kelt Exploration Ltd. with respect to:
    • a private placement offering of C$147 million of common shares and flow-through shares.
    • a private placement offering of C$101.06 million of subscription receipts.
    • a private placement offering of C$111.6 million of common shares and flow-through shares.
    • a private placement offering of C$94.35 million of common shares.
    • in connection with the acquisition of a private company with a total transaction cost of approximately C$165 million.
  • Ikkuma Resources Corp. (formerly PanTerra Resource Corp.) with respect to an offering of C$130 million of subscription receipts.
  • Advises public sector organizations on corporate transactions.
  • Advises private equity, venture funds and corporate strategics on corporate transactions.
