Topics covered will include:

  1. What is the current state of Canadian common law of contract about the “organizing principle” of good faith?
  2. Is there a legal duty to negotiate in good faith?
  3. The legal duty to negotiate in good faith in the context of “process contracts”.
  4. What difference has this development in the law made on the ground?

Session 2: Successfully Joining Forces: Opportunities and Pitfalls of Carrying on Business in Partnership

Following that, Darcy Toy a Partner in our Corporate Commercial group and Rob Biggar a Senior Associate in our Tax group will present on Successfully Joining Forces: Opportunities and Pitfalls of Carrying on Business in Partnership. More and more frequently, organizations of all types are considering partnerships, joint ventures and other forms of carrying on business jointly with other entities, particularly in real estate, private equity / investment and Indigenous contexts. In this session, they will discuss key corporate and tax considerations for your business when evaluating and structuring these opportunities, including:

  1. Risks and benefits of jointly-owned corporations, general partnerships, limited partnerships, limited liability partnerships and contractual joint ventures;
  2. an overview of the income taxation of partnerships; and
  3. important lessons learned, when designing and drafting these relationships.
