Samantha practices corporate and commercial law, advising organizations across the public, private, and not-for-profit sectors on a broad range of governance, transactional, and organizational matters. She assists clients with corporate governance, commercial agreements, mergers and acquisitions, corporate reorganizations, and other strategic structuring initiatives.
She currently serves as an executive on the Ontario Bar Association's Charity and Not-for-Profit Law Section and is a member of the BLG Foundation's Donations Committee.
Samantha works closely with clients on matters such as:
- Advising boards and senior leadership on governance structures, directors’ duties, board and member processes, succession planning, and governance best practices;
- Conducting comprehensive governance reviews and developing practical recommendations to align governing documents and organizational practices with applicable legislation and clients’ strategic objectives;
- Drafting and reviewing articles, by-laws, governance policies, commercial agreements, and other corporate documents;
- Advising on corporate reorganizations, integrations, asset transfers, dissolutions, and other complex structuring matters; and
- Supporting corporate and transactional due diligence, including reviews of corporate records, material agreements, governance arrangements and regulatory requirements.
