On Sept. 10, 2026, BLG acted as lead counsel to COSCIENS Biopharma Inc. (TSX: CSCI) (OTCQB: CSCIF) in connection with its acquisition of Nualtis Corp. from AtaiBeckley Inc. for a cash purchase price of US$15 million (plus certain earn-out considerations), and a concurrent private placement of convertible debentures.
Nualtis is a Montréal-based specialty pharmaceutical technology business focused primarily on proprietary oral thin-film drug delivery technologies.
The multidisciplinary mandate involved public-company M&A and financing, intellectual property, regulatory, employment and tax considerations.
