Kaliopi Dimitrakoudis is a lawyer in BLG’s Financial Services Group in Toronto. She advises lenders and borrowers on a wide range of syndicated and bilateral secured and unsecured financing transactions, including acquisition financings, project finance, asset-based lending and securitizations, in domestic and cross-border matters.
Kaliopi joined BLG as a summer student and articled with the firm before returning as an associate.
Experience
- Acted for Algoma Central Corporation (TSX:ALC), a leading provider of marine transportation services, on a refinancing which included (i) a private offering of $323M (C$ equivalent) of new senior secured notes to Canadian and U.S. institutional investors and (ii) the concurrent establishment of a $171M senior secured revolving credit facility to a syndicate of financial institutions.
- Represented TeraGo Networks Inc. and TeraGo Inc. in a secured debt transaction, comprising an approximately C$31 million term loan refinancing, together with a rights offering and private placement raising approximately C$16 million in new equity. Among other things, the transaction included the assignment of existing loans and the appointment of a new administrative agent, followed by an amendment and restatement of the existing credit facility, and post-closing syndication to multiple private lenders.
- Represented Telesat, one of the world's largest satellite operators, in its $2.54B funding agreements (for its subsidiary, Telesat LEO Inc.) with the Government of Canada and the Government of Québec for its broadband satellite constellation, Telesat Lightspeed network.
- Acted for RFA Capital Holdings Inc. and RFA Bank of Canada (formerly Street Capital Bank of Canada) in connection with a private securitization of mortgage renewal rights, the first mortgage renewal securitization completed in Canada.
- Acted as Canadian counsel for a U.S. investment firm in connection with multiple acquisitions, and related financings (including by way of securitization with the issuance of secured portfolio railcar equipment notes), of various portfolios of railcars and related equipment.
- Counsel to RFA Capital Holdings Inc. in its business combination with Artis Real Estate Investment Trust to form RFA Financial.
